Anthropic files its IPO prospectus: who pays, who gains and what it means for AI

Anthropic made its S-1 public on Oct. 26, planning a Nasdaq listing as ANT. The filing shows $16.3 billion in half-year revenue and an $80.7 billion net loss.

Anthropic has made its IPO paperwork public. The company filed a registration statement with the SEC on Monday to list its Class A common stock on the Nasdaq Global Select Market under the symbol "ANT." The price range and share count are still blank, so nobody can buy in yet.

Short version: Anthropic is growing very fast, spending even faster, and asking public investors to fund the next stage. If you want one number, it is $16.3 billion in revenue for the first half of 2026.

What the filing shows

Anthropic first submitted a confidential draft to the SEC on June 1. CBS News reports that OpenAI filed confidentially just over a week later.

MetricFigure
Revenue, six months to June 30$16.29 billion, up 1,304% from $1.16 billion a year earlier
Operating loss, same period$693 million
Net loss, same period$80.7 billion
Net loss, full year 2025$42.0 billion
Cash, June 30$112.4 billion in cash and equivalents, plus $19.3 billion in short-term investments

The $80.7 billion loss looks alarming but is mostly accounting. Quartz reports that most of it came from a $72.4 billion change in the fair value of convertible notes and other instruments, which rose as the company's valuation increased. Real spending is still heavy. Yahoo Finance says Anthropic spent $9 billion on AI infrastructure in the first six months, ahead of the $7.3 billion it spent in all of 2025.

Anthropic also told investors about the third quarter. Dealroom, citing the Wall Street Journal, reports revenue of $16.8 billion, up 45% from the second quarter.

Who pays

New public investors pay first. Quartz, citing Bloomberg, says Anthropic plans to start pitching investors as soon as the week of Nov. 9, and expects to raise as much as SpaceX did. SpaceX raised $85.7 billion in its Nasdaq listing, the largest IPO on record, according to CNBC. Goldman Sachs and Morgan Stanley lead 22 named underwriters.

Valuation talk varies, and none of it is in the filing. Anthropic's last private round raised $65 billion at a $965 billion post-money valuation in late May. The Financial Times reportedly puts existing investors' expectations at $1.5 trillion to $1.75 trillion. A tracker page citing CNBC and Reuters says investors projected about $2 trillion, with Reuters reporting a raise of as much as $100 billion. Treat all of these as reports, not guidance.

The second payer is Anthropic itself, through its cloud bills. Reports on the size of its compute commitments disagree. Yahoo Finance says upward of $450 billion. Forbes cites $518 billion, and the Wall Street Journal, via Dealroom, says up to $750 billion.

Who gains

Amazon and Google are the obvious winners. Fortune reports that Google holds roughly 14% in straight equity, capped contractually at 15%. Amazon does not disclose its percentage, but estimates put it in the mid-to-high teens. Those are pre-filing estimates. Fortune also says a $1 trillion-plus valuation could make hundreds of Anthropic employees millionaires.

Amazon and Google are also suppliers. Forbes notes that they provide computing capacity, distribute Claude and own stakes in the company. That cuts both ways. According to Dealroom's summary of the filing, Anthropic says it struggles to secure enough compute because the big cloud providers increasingly treat it as a competitor.

Why it matters for the AI market

This is the first listing of a frontier AI lab. Bloomberg says Anthropic is moving a step closer to being the first company focused primarily on developing the most advanced AI models to go public. CBS says the deal will gauge investor demand not only for Anthropic but for the data center builders, chipmakers and others behind AI services. The CBS piece quotes analysts at Lightshed: "Anthropic could become the most valuable company in the world. It could also end up in bankruptcy."

The SpaceX precedent is mixed for forecasting. Yahoo Finance notes SpaceX went public on June 12 at $150 per share and ended its first day 20% higher. One strong debut does not guarantee another.

Risks the filing flags

  • Customer concentration. Roughly one-fifth of revenue came from two customers. CNBC reports that no single customer was above 10% for the nine months to Sept. 30, while five customers made up about a quarter.
  • Compute supply. Dealroom says the filing warns that compute from Amazon, Google and Microsoft could be "curtailed, repriced, or terminated."
  • AI harm. The filing lays out scenarios where its models cause real-world harm, which Anthropic says could limit its ability to cover damages.

What happens next

Watch for the price range and share count, which come in a later amendment. Under SEC rules, Anthropic must file publicly at least 15 days before it begins its roadshow. That has now happened. Anthropic has said the IPO depends on market conditions and other factors. CBS News says the listing could come as early as November.

If you follow AI as a business story, the S-1 is the document to read. If you are weighing a purchase, wait for the pricing terms. This article is news reporting, not investment advice.
